These Terms of Service ("Terms") govern your use of the website at nerdybirdyproperties.com, the tenant portal at portal.nerdybirdyproperties.com (the "Portal"), and related online services provided by Nerdy Birdy Properties LLC ("Nerdy Birdy Properties," "we," "us," or "our"). By accessing or using our website or Portal, you agree to these Terms. If you do not agree, do not use the website or Portal.

These Terms govern your use of our online services. They do not replace or change your lease. If anything in these Terms conflicts with your signed lease, the lease controls for matters it addresses.

Eligibility and accounts

The Portal is provided for current tenants of Nerdy Birdy Properties (and authorized household members or co-tenants on the lease). You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.

Acceptable use

You agree to use the website and Portal only for lawful purposes related to your tenancy. You agree not to:

Interfere with or disrupt the website, Portal, or their security;
Attempt to gain unauthorized access to any account, system, or data;
Upload malicious code or use the services to harm others;
Misuse the services in any way that violates applicable law.

Payments

The Portal may allow you to view balances, invoices, receipts, and payment reminders. We accept payments through several methods, including Cash App, Venmo, Zelle, ACH bank transfer, check, cash, and money order. We do not process card payments ourselves and do not store payment card numbers. Payments made through third-party services are subject to those services' own terms. You remain responsible for paying rent and other amounts due under your lease, in full and on time, regardless of any reminder, balance, or other information shown in the Portal.

Text messages

If you provide your phone number and give consent, we may send you automated, notification-style text messages related to your tenancy, such as payment reminders, receipts, invoices, lease reminders, maintenance updates, and safety alerts. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Our texting service is send-only for automated notifications; for questions, contact us by phone or email. Your use of text messaging is also subject to our Privacy Policy.

Communications

By providing your email address or phone number, you agree that we may contact you about your tenancy through those channels. Service-related communications (such as billing, maintenance, lease, and account messages) are part of using the Portal.

Availability and changes

We provide the website and Portal on an "as available" basis. We may modify, suspend, or discontinue any part of the services at any time, and we may perform maintenance that temporarily limits availability. We may also update or remove content as needed.

Termination of access

We may suspend or terminate your access to the Portal at our discretion, including if you violate these Terms, if your tenancy ends, or for security or operational reasons. Termination of Portal access does not affect your obligations under your lease.

Disclaimers

THE WEBSITE AND PORTAL ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the services will be uninterrupted, error-free, or completely secure. Information shown in the Portal is provided for convenience; your lease and our official records govern in case of any discrepancy.

Limitation of liability

To the fullest extent permitted by law, Nerdy Birdy Properties LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising out of or relating to your use of (or inability to use) the website or Portal. Nothing in these Terms limits any rights or remedies you may have under your lease or under applicable landlord–tenant law.

Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. Any disputes relating to these Terms or the online services will be handled in the state or federal courts located in Jefferson County, Kentucky, to the extent permitted by law.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the website or Portal after changes take effect means you accept the updated Terms.
